Sample rental contract — WebMind® website rental

Between Domaniai LLC ("Domani AI") and the customer ("Lessee").
§ 1 Subject of the contract
Domani AI provides the lessee with the website or WebMind® system described in the offer for use against a monthly rent. The exact scope follows from the corresponding offer.
§ 2 Term
The minimum term is 24 months and begins with the receipt of the first payment (deposit). Go-live takes place after production and depends on the production time stated in the contract.
§ 3 Production time & go-live
Production only begins once the contract is signed and the first payment (the deposit) has been received — not at go-live. The expected production time until go-live is stated in the contract. If the lessee requests revisions or additional changes during production, the production time may extend and go-live may be postponed accordingly.
§ 4 Rent & payment
The lessee pays a fixed monthly rate (set in the offer, e.g. €363/month), in advance at the start of each month. All prices are net, plus statutory VAT. If the lessee requests additional features or extensions during the term, these are quoted separately and priced individually; the monthly rate is adjusted accordingly.
§ 5 Deposit
The deposit, equal to three monthly rates, is due at signing — not at go-live. Production begins only once this payment has been received. It is credited against the last three monthly rates at the end of the term.
§ 6 Services included
The monthly rate includes hosting, maintenance, security updates and ongoing operation per the offer — with no additional setup costs.
§ 7 API & usage costs
Usage-based third-party costs — in particular API costs for AI features (e.g. the chatbot) — are not included in the monthly rate, as they vary from month to month depending on usage. They are passed on 1:1 at cost — with no markup — and billed transparently together with the corresponding usage statistics.
§ 8 Transfer of ownership
After the 24 months and full payment, the website and its source code become the property of the lessee. Ongoing operation (hosting/maintenance) can be continued separately on request.
§ 9 Early termination
If the lessee wishes to end the contract before the 24 months are up, the remaining monthly rates are settled — no additional penalty applies. The right to extraordinary termination for good cause remains unaffected.
§ 10 Usage rights during the term
During the term, the lessee receives unrestricted rights to use the website for their business. The lessee’s content and data remain their property at all times.
§ 11 Data protection
Personal data is processed in compliance with the GDPR. A data processing agreement (DPA) is concluded where required.
§ 12 Liability & final provisions
Liability, place of jurisdiction and further provisions follow Domani AI’s General Terms and Conditions, or are set out in the final, individually tailored rental contract.
